Notice that the annual meeting of shareholders
Will be a telephone meeting
Due to the public health impact of the coronavirus (COVID-19) pandemic and to support the health and well-being of our shareholders, NOTICE IS HEREBY GIVEN that the annual meeting of shareholders of Eaton Vance Floating-Rate Income Trust (the “Fund”) which will be held on Thursday, March 17, 2022 to 12:00 p.m. Eastern Time (the “Meeting”) will be held in a telephone format. Shareholders will not be able to personally attend the Meeting.
If, from January 4, 2022you were a registered holder of shares of the Fund (that is to say, you held shares of the Fund in your own name directly with the Fund), you are entitled to receive notice of and vote at the Meeting or any postponement or adjournment thereof. If you wish to participate in the Meeting, you must send your full name and email address to AST Fund Solutions, LLC (“AST”) at [email protected] and include the name of the Fund in the subject line. You will then receive conference call access information and instructions for voting at the Meeting. Any request to participate in the Meeting must reach AST no later than 3:00 p.m. Eastern Time on March 16, 2022.
If, from January 4, 2022you held shares of the Fund through an intermediary (such as a broker) and wish to attend and vote at the Meeting, you will need to obtain a legal proxy from your intermediary stating the name of the Fund, the number of shares of the Fund you hold as well as your name and your E-mail adress. You can forward an email from your intermediary containing the legal power of attorney or attach an image of the legal power of attorney to an email and send it to AST at [email protected] with “Legal Proxy” in the subject line. You will then receive conference call access information and instructions for voting at the Meeting. Any request to participate in the Meeting must reach AST no later than 3:00 p.m. Eastern Time on March 16, 2022.

The Fund and the Board of Trustees are closely monitoring the evolving COVID-19 situation and, if circumstances warrant, the Fund will issue one or more additional press releases informing shareholders of the Meeting. Whether or not you plan to attend the Meeting, the Fund invites you to submit your vote prior to the Meeting by one of the methods described in the Fund’s proxy. The proxy card included with previously distributed proxy materials will not be updated to reflect the change to a telephone meeting and may continue to be used to vote your shares at the meeting.
